Thank you for using SendPass. Please read these Terms of Use (“Terms”, “Terms of Use”, “ToC”) carefully before using SendPass and SendPass.app (the “Service”). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors and users who access or use the Service.By using the Service, you accept and agree to the provisions of the Terms of Use. If you do not agree to any provisions contained in the Terms of Use, you are not authorized to use the Service. If you’re using the Service for an organization, you’re agreeing to the Terms of Use on behalf of that organization.

Use of SendPass

SendPass has a maximum limit of passwords which can be shared per day, which is based on the IP-address of the user or organization using the Service. We can, without prior notice, exclude you (based on your IP-address) from using (features of) the Service, should the maximum limit of passwords be reached or should there be any attempt to use the Service in a way that we deem to be unreasonable. The definition of ‘reasonable use’ and ‘unreasonable’ use is completely at our discretion.

When sharing a password, a one-time code and unique link is generated. The one-time code can be used only once to retrieve the password. After retrieval, the password is destroyed from our database permanently. We provide no way of retrieving the password again.

Privacy Policy

By using the Service, you agree to our Privacy Policy. We will never disclose personal information (Personally Identifying Information) to third parties, other than to exercise our legal rights or defend against legal claims.

Security

You are solely responsible for maintaining the confidentiality of your one-time code. We endeavor to use reasonable security measure to protect against unauthorized use of your one-time code (such as Brute-Force protection mechanisms, encryption and hashing). However, we cannot guarantee absolute security of your one-time code, stored password or the data which is logged. We cannot promise that our security measures will completely prevent third-party “hackers” from illegally accessing the data that is stored by SendPass. You accept the risks and consequences of unauthorized access to the Service and impact this may have on you or the organization on whose behalf you are using SendPass.

Interruptions

You acknowledge that your access to the Service may be suspended without prior notice due to scheduled or unscheduled downtime as a result of but not limited to the following causes: power outages, system failures, Denial of Service-attacks and other interruptions.

Intellectual property

The following is a trade-mark (registered or not) of SendPass: "SendPass" as well as other SendPass trade-marks, service marks, graphics, and logos (collectively, the "Trade-marks") used in connection with the Service. The Service may also contain third-party trade-marks, service marks, graphics, and logos (collectively, the "Other Trade-marks"). All content displayed on the Service as well as all the software (including any source code) used in connection with the Service is the exclusive property of SendPass or third parties and is protected by copyright laws. Nothing in the Terms of Use grant you a right or license to use any Trade-marks controlled by SendPass or any other third party.

Disclaimer

SendPass is PROVIDED TO YOU "AS IS" AND “AS AVAILABLE”. ANY USE OF THE SERVICE TO SHARE PASSWORDS IS AT YOUR OWN RISK TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SendPass DISCLAIMS ALL REPRESENTATIONS, WARRANTIES OR CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. SendPass MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES THAT SendPass WILL BE FREE FROM DESTRUCTION, DAMAGE, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND SendPass DISCLAIMS ANY LIABILITY RELATING TO THAT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SendPass SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT SendPass HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Partnership

No agency, partnership, or employment is created between you and SendPass as a result of the Terms of Use and you do not have any authority of any kind to bind SendPass in any respect whatsoever.

Governing law

These terms and conditions are governed by the laws of the Netherlands.

Amendments

We may, from time to time, amend the Terms of Use of the Service without prior notice to you and without any liability to you. You can determine the date of amendment by referring to the “last updated” date, which is positioned at the top of the Terms of Use. If you do not accept and agree the amended Terms of Use, you are not authorized to use the Service.
